Omnia takeover talks and Remgro profit guide lead JSE higher

Corporate updates dominated a narrow financials-led advance, with Omnia's unconfirmed takeover talks and Remgro's 37–47% HEPS guidance setting the agenda for next week's results.

A risk-off open gave way to a financials-led grind higher, but the session's most consequential development was corporate: Omnia confirmed it is in advanced takeover discussions.

How the day unfolded

The session opened under pressure after an overnight VIX spike and yen carry unwind hit Asian equities, with the rand weakening 0.53% to R16.13 and gold up 1.27% and palladium up 2.44% supporting precious metals miners into the open. By midday the Financial 15 index was driving a marginal All Share gain, while Brent crude's sharp drop capped Resources.

At the close the All Share added 0.15% and the Top 40 0.19%, with Financials and Communication Services leading. Life Insurance, Industrial Transportation and Telecommunications were among the leaders, while Food Producers, Retailers, SA Listed Property and Energy lagged.

Breadth deteriorated to 64 advancers against 87 decliners even as the VIX collapsed 10.48% to 15.97, leaving the advance narrow and financials-led.

OMN Omnia confirms advanced takeover discussions; shares surge 14.6%

Omnia confirmed it is in advanced discussions regarding a potential offer for all its issued ordinary shares. No bidder, offer price or certainty has been disclosed, and the independent board has issued a cautionary pending a full announcement.

That leaves shareholders with a full takeout possibility but no terms to size it against. The rally rests on unconfirmed talks, and the filing itself states there is no certainty a transaction will conclude.

The next announcement is where the market will test whether a real premium materialises; until then the share carries deal risk if discussions collapse.

REM Remgro guides FY2026 HEPS up 37–47% to R19.30–R20.71

Remgro guided FY2026 headline earnings per share to between R19.30 and R20.71, a 37% to 47% increase over the prior year's R14.09.

Excluding material once-off items at certain investee companies, underlying growth is still expected at 24% to 34%, pointing to substantive operational outperformance beyond non-recurring boosts.

The improvement is broad-based across key investee companies, but the once-off items are unquantified. Full-year results on 21 September will show whether the earnings are cash-backed and the once-off gains are quality.

PPR Putprop swings HEPS guidance from loss to profit of 60.97–73.15c

Putprop's Putprop further trading statement upgrades FY2026 headline earnings per share guidance to a profit of 60.97 to 73.15 cents, from a previously guided loss of 5.26 to 17.44 cents.

The swing is driven by revisions to external valuers' assumptions on investment-property fair values, not demonstrated operational cash generation. Audited results on 18 September will show whether the revised valuations hold.

TRL Trellidor swings to HEPS loss, suspends final dividend as revenue falls 20%

Trellidor's Trellidor audited FY26 results show continued-operations revenue down 20.3% to R292.7 million and headline earnings per share swinging from a 31.5-cent profit to a 17.3-cent loss.

The board suspended the final dividend, with resumption conditional on profitability and cash generation normalising. The filing offers no forward guidance, leaving the recovery trajectory unaddressed.

CAT Caxton HEPS falls 5.7% but dividend lifted 14.3% to 80c

Caxton's reviewed results show headline earnings per share down 5.7% to 168.6 cents and revenue down 1.8%, while the board raised the ordinary dividend 14.3% to 80 cents.

The higher payout sits alongside a R38.3 million plant impairment at the Durban commercial printing facility and a muted, flat outlook, keeping the earnings trajectory negative.

LHC Life Healthcare confirms margin-led EBITDA growth of 5.7% on flat volumes

Life Healthcare's voluntary eleven-month update shows normalised EBITDA up about 5.7% and the southern Africa margin up about 60 basis points, despite revenue growth of only 1.7% and essentially flat paid patient days.

The cost-saving programme is driving the margin expansion, but the figures are unaudited and the market still needs full-year results to confirm the improvement is sustainable and cash-backed.

PAN Pan African's Soweto tailings DFS shows 29.55% IRR and ZAR3.68bn capex

Pan African's Pan African Soweto tailings DFS for the Soweto Tailings Retreatment project shows 561,000 ounces over about 15 years, a 29.55% real ungeared IRR and value-engineered capex of ZAR3.68 billion.

The project would lift the Mogale Tailings Retreatment complex's peak production to about 100,000 ounces a year, but a final investment decision targeted for December 2026 still needs board approval, financing and permits.

THA Tharisa prices US$300m bond at 11% coupon to fund Karo Platinum

Tharisa priced a US$300 million five-year senior secured bond at 98% of principal with an 11.00% coupon, oversubscribed by more than 150 international investors.

Proceeds are earmarked for the Karo Platinum Project, where first ore is expected in Q4 2027. The 11% coupon and issue discount are expensive capital, and settlement on 24 September remains subject to conditions precedent.

Movers explained

Omnia's 14.59% surge was the only gainer with a clear SENS catalyst, tied to the Omnia cautionary announcement. AfroCentric's 11.11% jump came on thin volume with no disclosed catalyst, and Optasia, Canal+ SA and Brait all advanced without corporate news or sector-wide support. On the downside, Stefanutti Stocks fell 8.08% with no SENS or macro trigger, while Jubilee Metals and Copper 360 dropped 7.41% and 6.67% on thin volume; Copper 360's move was linked to a SENS announcement. Asp Isotopes declined 5.65% after a Form 4 insider-ownership filing, and KAP fell 5.08% after Coronation reduced its stake below 5%.

Director dealings

Super Group saw five directors sell shares on 8 September totalling about R3.0 million, with the largest sales by Peter Mountford (R1.26 million) and Graeme Watson (R0.81 million). The cluster of sales on the same day is the notable pattern.

What we are watching

Gold Fields goes ex-dividend on Monday for R16.25 cash, which may shift positioning in the gold sector. Putprop's audited results land on 18 September and Remgro's full-year results on 21 September, while Tharisa's bond settlement is due 24 September. Pan African's final investment decision on the Soweto tailings project is targeted for December 2026, and Omnia's next announcement will show whether a takeover premium materialises.
