JSE slides 1.75% as resources rout; PHP's GIC hospital JV leads

A firmer rand and global risk-off hit rand-hedge miners hardest, but the day's corporate news was dominated by PHP's £0.5bn GIC hospital joint venture and Nedbank's NCBA offer turning unconditional.

A global risk-off session, sparked by a US tech selloff and a firmer rand, punished the JSE's resource-heavy counters while SA Inc. names drew early support. The broad selloff in basic materials dragged the market sharply lower.

How the day unfolded

The session opened risk-off after a US tech selloff and an overnight spike in volatility, but a firmer rand tilted early support toward SA Inc. names over rand-hedge miners. By midday global risk-off overwhelmed the rand tailwind, with US futures weakness driving resources lower and Basic Materials leading losses.

The close saw the Top 40 down 1.90% and the All Share down 1.75%, with Basic Materials off 3.26% and breadth at 41 advancers against 111 decliners. Food Producers (+0.06%) and Telecommunications (-0.04%) were the relative leaders, while Resource 20 (-3.32%), Technology (-2.51%) and Energy (-1.89%) lagged. The rand strengthened 0.50% to R16.43 and Brent fell 1.48% to $108.23.

PHP GIC hospital JV raises ~£0.5bn to cut debt

Primary Health Properties Plc will transfer 27 private hospitals into a new 50:50 joint venture with GIC, receiving about £0.5bn net to repay its Assura bridging facility and a £266m term loan in full.

The Seed Portfolio is valued at roughly £0.7bn and transfers at a 5% discount to its 31 December 2025 book value, with completion expected in November 2026.

Pro forma net debt to EBITDA is expected to fall below 10 times and loan-to-value below 55%, while PHP keeps a 50% stake and gains a recurring management fee stream plus potential performance-fee upside.

The filing does not quantify the fee terms or the EPS impact, leaving those as the open questions for the completion announcement.

CGR flat revenue, lower EPS and higher leverage; Memorial Parks grows 20%

Calgro M3 Holdings Limited's interim results showed group revenue up just 1.22% to R465m, while EPS fell 4.83% to 78.99c and net debt to equity rose to 0.86 from 0.74. The core residential development segment saw revenue slip to R417.87m from R420.20m.

Memorial Parks was the bright spot, with revenue up 20.04% to R47.81m on a 54.78% gross margin, but it remains too small at around 10% of group revenue to offset the constrained residential business. No interim dividend was declared.

NED NCBA offer becomes unconditional; closing expected 3 November

Nedbank Group Limited's offer to acquire roughly 66% of NCBA Group became unconditional on 15 October, clearing the last regulatory hurdle. The bank will acquire approximately 1.087bn NCBA shares.

Settlement is expected on or about 3 November, with final consideration figures due around 5 November. The filing does not disclose pro-forma financial effects, so the Q4 consolidation and the cash/scrip composition remain the next details to watch.

GML record USD 564.54 per carat at October ruby auction

Gemfields Group Limited's October mixed-quality ruby auction generated USD 52.0m in revenue, selling 90 of 99 lots and 92,153 of 102,099 carats at an average of USD 564.54 per carat — the highest in the five-auction table.

The offering was deliberately smaller, reflecting the Trade Select strategy and the year's operational challenges, with nine lots unsold. The December Trade Select auction will show whether the higher per-carat pricing holds at larger volumes.

S32 FY27 guidance held; Sierra Gorda copper up 11%, Cannington zinc down 27%

South32 Limited held FY27 production guidance across all operations in its September quarter report. Sierra Gorda payable copper equivalent production rose 11% to 22.4kt and Australia Manganese saleable production increased 15% to 902kwmt.

Cannington payable zinc equivalent production fell 27% to 59.2kt on a paste-backfill constraint, while net cash rose US$14m to US$297m after a US$153m distribution from Sierra Gorda. The H1 FY27 results will show whether the production mix is converting into earnings.

CMH shareholders approve R745m related-party rental acquisition

Combined Motor Holdings Limited shareholders approved the R745m acquisition of rental enterprises from related directors, with all three resolutions passed. The ordinary resolution drew 78.79% of votes cast, with 56.18% of eligible shares participating.

The deal still needs two outstanding conditions precedent before it can close, and the filing does not identify them. The next announcement should clarify what those conditions are and when the R745m cash outlay lands.

ORN US$40m Glencore Tranche A unconditional; Tranche B still conditional

Orion Minerals Limited's US$40m Glencore Tranche A for the Prieska Uppers Mine is now unconditional, with first drawdown expected by the end of October. The US$210m Tranche B for the Deeps remains conditional on the Deeps being fully funded and Glencore securing third-party backing for its prepayments.

Movers explained

On the upside, Hulamin Limited rose 5.15% after a linked SENS announcement, though the filing was only a procedural B-BBEE compliance report with no economic catalyst. Copper 360 Limited's 5.00% gain came on thin trade with no disclosed catalyst, while ArcelorMittal South Africa Limited (+2.86%) moved against a sharply weaker Basic Materials sector, and Oceana Group Limited (+1.59%) and Equites Property Fund Limited (+1.44%) moved against slightly negative sectors with no identifiable driver.

On the downside, Finbond Group Limited collapsed 29.87% on thin trade after an interim trading statement that signalled a severe earnings disappointment, and Stefanutti Stocks Holdings Limited shed 10.34% on sector contagion. ASP Isotopes Inc. fell 9.86% on a neutral Form 4 filing that does not explain the sell-off. Anglo American plc dropped 5.39% with three director-dealing flags indicating insider selling, and Glencore plc retreated 5.32% within a sharply weaker Basic Materials sector and falling Brent.

Director dealings

Fortress Real Estate Investments Limited saw three directors make off-market purchases on 16 October totalling about R9.0m — Steven Brown R5.4m, Ian Vorster R1.9m and Tamlyn Stevens R1.7m — while Steven Brown also recorded an indirect disposal of R29.7m on 19 October.

What we are watching

Anglo American and Glencore remain in focus alongside the USD/ZAR and Brent direction. Nedbank's final NCBA consideration figures are due 5 November, Primary Health Properties expects its GIC joint venture to complete in November, and Gemfields' December Trade Select auction will test ruby pricing.
